This agreement applies to the products you license from Myicons until we enter into a new agreement that expressly supersedes this one. If you use Myicons products as an employee / partner or for the benefit of your company, you acknowledge that you have the authority and right to accept this agreement on behalf of your company. Your company will be a licensee under this agreement. By downloading, installing, activating, or using Myicons products, you agree to the terms and conditions of this agreement on behalf of yourself and the company on whose behalf you will use Myicons products provided under this agreement.

By purchasing and using any of our Myicons digital assets, you are licensed to use those files for a specific purpose under certain terms and conditions under copyright as described below. Your purchase of a Myicons subscription signifies your acceptance of the terms of this agreement.

The effective date of this agreement is the date you first activate, install, or use Myicons products. If you do not agree to the terms of this agreement or do not have the authority and power to accept the terms of this agreement on behalf of your company, you may not use Myicons products and Myicons is unwilling to provide them to you.

Agreement — This License Agreement which shall be in effect and bind you and Myicons the moment you purchase a Myicons subscription, unless another agreement expressly replaces it.

Myicons — the company that has produced, created the Myicons icons for personal and commercial use and under this License Agreement is extending it for further use.

You / Your — You are the client of Myicons if you are visiting the Myicons website, the Myicons Figma plugin, or otherwise have the intention of licensing the Myicons icons for your personal or commercial use. 'You' may be an individual, a company, employee of a company, partners of a company or freelancers hired to work. This definition is not comprehensive although it includes all of the above but may not be limited to it.

Licensed User — By purchasing a Myicons subscription, an individual user identified by their Figma account and/or registered Myicons web account is granted a limited, worldwide, non-exclusive, non-transferable, non-sublicensable, revocable license to use Myicons products for specific purposes under the conditions of this Agreement.

Employee / Partner / Team Member — are employees / partners of a company, partnership firm who are employed by that company in some manner, working on an end project and need to use the Myicons icons to integrate them into the company's End Products for further commercial use and profit of the Company. They are clearly distinguished from the End Users.
End User — The End User may also be the users of the projects / websites developed by the companies or partnership firms mentioned where the icons have already been integrated into such projects. There is no limit on the number of such End Users who may use / visit such End projects / websites.

End Product — your unique project, such as a website, application, design system, presentation template, mobile app, or digital item, where end users do not get direct access to the complete Asset in its original or modified form, and where the Asset does not constitute the main value of the product.

Unique Icon — within a single End Product, each distinct icon design counts once toward the icon quota regardless of how many times it is placed. For example, if you use the same arrow icon in 100 places across one website, it counts as 1 unique icon — you still have 99 remaining unique icons available within that End Product (subject to your tier's icon limit).

Subscription — the active, paid-up Myicons subscription period during which you are entitled to access the Myicons Figma plugin and the Myicons web library and to use icons in your End Products under this Agreement.

Myicons Plugin / Myicons Web Library — the two delivery channels through which Myicons products are made available: (i) the Myicons plugin for Figma, which authenticates the Licensed User by their Figma account and provides in-canvas icon search, preview, and insertion; and (ii) the Myicons web library at myicons.co/pro/, which authenticates the Licensed User by their registered Myicons account and provides browse, search, copy, and download of icons. One Myicons subscription covers access through both channels.

The Myicons products that you may license under this agreement are identified hereunder. These products and services may include (but are not limited to):

A limited subset of Myicons icons may be made available free of cost for personal or commercial purposes for any number of projects, subject to the Free Tier terms published on myicons.co. The Free Tier is provided "as is" and Myicons reserves the right to change its scope or discontinue it at any time.

The Standard license grants access to the entire Myicons library and lets the Licensed User(s) embed up to 100 unique icons per End Product, across an unlimited number of End Products. The same icon reused within one End Product counts once (see §2 — Unique Icon).

A Standard license is defined by a single variable — the number of seats (Licensed Users) entitled to use the Myicons products at one time. Only the Licensed Users covered by your seat count may use the products simultaneously. Standard is sold in a range of seat sizes, from a single user up to a large company; the seat count that applies to you is the one recorded in your order and tied to your license key (see §3.5). Current seat options and pricing are published at myicons.co

If you need to use more than 100 unique icons in one End Product, you may upgrade to an Extended license.

The Extended license is for projects that need more than 100 unique icons in one End Product. It works exactly like the Standard license and is subject to all the same terms, but with a higher unique-icon limit per End Product.
An Extended license is defined by two variables:

• the number of seats (Licensed Users) entitled to use the Myicons products at one time; and
• the unique-icon limit per End Product — a higher cap than Standard's 100 (for example, 250, 500, or 1000 unique icons).

The seat count and unique-icon limit that apply to you are those recorded in your order and tied to your license key (see §3.5). Current configurations and pricing are published at myicons.co; additional configurations may be offered over time and are covered by this Agreement upon publication.

Any purchased subscription allows the Licensed Users to use Myicons digital assets in unlimited personal and commercial End Products for themselves or a client during the active subscription period (see §6 — Subscription Term & Termination).

The number of seats and the unique-icon limit that apply to you are those recorded in your order and associated with your license key. The plan types and configurations described in §3.2–§3.4 reflect Myicons's current offerings and may be updated from time to time; any such change applies to new orders and does not reduce the scope of a subscription already in effect for its then-current term.

For all paid plans, you will receive activation credentials (license key) via the email address you provide at checkout. Activation of the Myicons Plugin or the Myicons Web Library requires this license key and your Figma account identifier or registered Myicons web account.

All rights, title, and interest in and to the Product, including all intellectual property rights therein, are and shall remain the exclusive property of Myicons. Nothing in this Agreement shall be construed to transfer any rights, title, or interest in the Product to Licensee, except as expressly provided herein.

When you purchase a Myicons subscription, for the duration of the active subscription you have a limited, worldwide, non-exclusive, non-transferable, non-sublicensable, revocable right to:

• Activate the Myicons Plugin on Figma accounts up to the number of seats included in your plan.
• Access the Myicons Web Library at myicons.co/pro/ on Myicons web accounts up to the number of seats included in your plan.
• Use the Myicons icons in application, software, UI / UX design.
• Create an End Product for a client.
• Create an End Product for personal or commercial use.
• Modify icons in shape, size, color, or file format.
• Combine the Item with other works and make a derivative work from it. The resulting works are subject to the terms of this license.
• Make, develop, integrate into designs, software, services, web-based products only to the extent that the Myicons icons are integrated / embedded into the new creation and not in their original form as the licensed Product.

Upon expiration, cancellation, suspension, or non-payment of your subscription:

• Your right to access the Myicons Plugin and the Myicons Web Library terminates immediately.
• Your active seats will be revoked. The Myicons Plugin will no longer insert icons into Figma files, and the Myicons Web Library will block download, copy, and browse access to paid-tier icons.
• Icons that you have already embedded into an End Product created during the active subscription period remain licensed under this Agreement for use within that End Product, provided that the End Product is not itself a Myicons-style icon library, icon set, template, or other redistribution of the Myicons assets.
• You may not, after termination, extract, copy, modify, or reuse Myicons icons in new End Products created after the subscription end date.

You may reactivate at any time by purchasing a new subscription, subject to then-current pricing.

In addition to §6.2, if Myicons has reason to suspect that you or any of your Users have breached this Agreement, Myicons may immediately terminate this Agreement, revoke all seats, restrict your ability to access the Myicons Plugin and the Myicons Web Library, and pursue the remedies described in §17 and §22.

Refunds in connection with cancellation are governed by the separate Myicons Refund Policy, which is incorporated into this Agreement by reference.

While this Agreement continues and your subscription is active, Myicons agrees to make the latest versions of Myicons available through the Myicons Plugin and the Myicons Web Library.

You may not transfer or assign your license rights to any other person in any manner (by assignment, operation of law or otherwise) unless you have obtained written consent from Myicons.

If you attempt to transfer or assign any of your license rights without Myicons's consent, the transfer or assignment will be ineffective, null, and void (and you will be in material breach of this Agreement).

All products of Myicons are provided "as is," without any warranty of any kind, and Myicons further disclaims all other warranties, express, implied or statutory, with respect to open-source software, including but not limited to the implied warranties of non-infringement, merchantability and fitness for a particular purpose.

Myicons shall not have any liability for any direct, indirect, incidental, special, exemplary, or consequential damages (including without limitation lost profits), however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use or distribution of the Products, even if advised of the possibility of such damages.

Ordering Myicons subscriptions: You may order Myicons subscriptions at any time by submitting an order through the Myicons online ordering system or as otherwise directed by Myicons. When using the Myicons online ordering system, you shall be responsible for ensuring that all information you provide is accurate and complete and that any person placing an order on your behalf has your authority to do so. Your order must indicate which plan you want to purchase (including the tier, the number of seats, the icon limit) and any other information Myicons would need to fulfil your order. Myicons may, in its reasonable discretion, accept or reject your order. Myicons may accept your order by sending you written or electronic notice of acceptance or simply by fulfilling your order.

Refunds are governed by the separate Myicons Refund Policy published at myicons.co/pro/refund-policy and incorporated into this Agreement by reference.

The Customer agrees to pay the subscription fee for Myicons specified at the time the Customer entered this Agreement, using a payment method accepted by our authorized payment processor. As soon as a successful payment is established, an email shall be sent to your registered email address with the activation credentials and further information.

All payments are processed through our authorized third-party payment processor in U.S. dollar currency unless otherwise specified at checkout.

After this Subscription Agreement Ends

When this Subscription Agreement ends (see §6 — Subscription Term and Termination), your access to the Myicons Plugin and the Myicons Web Library ends immediately. Icons already embedded into End Products created during the active subscription period remain usable within those End Products under the terms of this Agreement; no new use of Myicons assets is permitted after the subscription ends.

Confidentiality Obligations: Each party (you and Myicons) agrees to abide by the following confidentiality obligations with respect to the other party's Confidential Information:

• do not disclose it to any third party unless the other party has given its specific and express prior written approval, the disclosure is expressly allowed under this Agreement, or the disclosure is necessary to comply with a valid court order or subpoena;
• do not use it for any reason other than to exercise its rights and perform its obligation under this Agreement; and
• protect it from unauthorised dissemination in the same manner as that party protects its own Confidential Information.

For the avoidance of doubt, your Myicons license key, plugin session tokens, and web account credentials are Confidential Information of Myicons-issued material and must be kept confidential by you and your team.

Processing of personal data is governed by the separate Myicons Privacy Policy published at myicons.co/pro/privacy-policy and incorporated into this Agreement by reference.

Ownership of Intellectual Property Rights: The Myicons site, the Myicons Plugin, the Myicons Web Library, and all their contents are the property of Myicons and in some cases, its affiliates and licensors, and are protected by the United States Trademark and Copyright policies and other relevant international intellectual property laws and treaties. "Myicons", the "Myicons" logo in black and white and/or any of its colored versions, in any style or format or in any artistic form, is the proprietary property of Myicons. Your only rights in the Licensed Products are the rights expressly granted in this Agreement; all other rights are reserved by Myicons. Myicons's licensors are third-party beneficiaries of, and thus may enforce against you, the license restrictions and confidentiality obligations in this Agreement with respect to their intellectual property and proprietary information. You will own all Intellectual Property Rights in the designs you create using the Licensed Products subject to Myicons's (and its licensors') ownership of the Intellectual Property Rights in the Licensed Products. Myicons may freely use and disseminate any Feedback you provide. You agree not to claim that Myicons owes you any compensation for its use or dissemination of such Feedback.

For each product or service you license or purchase from Myicons under this Agreement, Myicons's total, cumulative liability to you is limited to the amount of Fees you paid for that product or service (regardless of the nature of the liability or the nature or number of claims giving rise to the liability). Myicons will not, under any circumstances or any theory of liability, be liable to you for any lost profits, loss of data, or consequential, incidental, or special damages arising from this Agreement or the products and services provided to you under this Agreement.

If the Customer takes legal action against Myicons related to the Myicons products, under contract law, tort law, or any other kind of law, the Customer's damages will be capped at the amount of fees the Customer actually paid Myicons under this Agreement. Under no circumstance shall the Customer be entitled to punitive, exemplary, consequential, or indirect damages. If Myicons takes legal action against the Customer related to Myicons, under contract law, tort law, or any other kind of law, Myicons shall not be entitled to receive punitive, exemplary, consequential, or indirect damages, except as expressly provided in §22.

This Agreement is governed by the laws of the United States and the State of New York, without regard to conflicts of laws principles. The federal and state courts located in New York shall have exclusive jurisdiction over any disputes arising from or relating to this Agreement, and each party consents to such jurisdiction and venue.

The parties to this Agreement are independent contractors. Neither party is the agent or partner of the other party, or has any power or authority to act on behalf of the other party.

Except where this Agreement expressly provides exclusive remedies, all rights and remedies of either party (including termination rights) are cumulative. You agree that monetary damages alone would not be an adequate remedy, and therefore Myicons will be entitled to injunctive relief if you materially breach the license restrictions or confidentiality provisions in this Agreement.

This Agreement, together with the Myicons Refund Policy and the Myicons Privacy Policy (incorporated by reference), is the entire agreement between the parties concerning its subject matter, and supersedes any prior or contemporaneous agreements, communications, or understandings (whether written or oral). However, any confidentiality or non-disclosure agreements that Myicons previously entered into with you will remain in effect (according to their terms) with respect to the confidential information disclosed thereunder.

This Agreement may be amended only by means of a written instrument signed by authorized representatives of both parties that specifically refers to this Agreement and states the parties' intention to amend it. No additional or inconsistent terms on any purchase order or similar document you may submit to Myicons will be binding on Myicons or have any legal effect.

Myicons may update the form of this Agreement from time to time for new purchases. The version of this Agreement in effect on the date your then- current subscription was last renewed shall apply to you until the next renewal or until you affirmatively accept an updated version.

The Customer may not assign any right or license under this Agreement. The Company may assign its rights and obligations under this Agreement, as a whole, to a new legal entity created to change its jurisdiction or legal form of organization, or to an entity that acquires Company assets related to Myicons or enough securities to control the Company's management. Any attempt to assign against the terms of this Agreement will have no legal effect.

For customers on the Enterprise plan, the seat count, icon limit, and any specifically negotiated terms are recorded on a separate Myicons Enterprise License Certificate issued by Myicons and identified by the license key. The Enterprise License Certificate is governed by, and is part of, this Agreement; in the event of conflict between the Enterprise License Certificate and this Agreement, the Enterprise License Certificate controls only with respect to the negotiated parameters (such as seats, icon allowance, term, billing, and support).

The copyright of Myicons is owned by Myicons Ltd. You are granted only the permissions described in this license; all other rights are reserved.

Myicons reserves the right to pursue legal remedies for any unauthorized use of Myicons outside the scope of this license, especially in the case where assets are used to create a competing product (e.g. icons library, icons pack) or distributed online.

If Licensor has reason to suspect that Customer or any of their Users has breached this Agreement, the Licensor may terminate this Agreement, restrict Customer's ability to access and use Myicons products and assets. Upon termination of the Agreement, the original and all copies of the Asset, including backup copies, must be destroyed (other than icons already embedded into End Products created during the active subscription period, which remain subject to §6.2). Licensor will send a notice to the email address provided by Customer at the time of purchase upon termination of this Agreement or restriction of access. These measures do not limit the Licensor's ability to enforce this Agreement in other ways, such as by taking legal action.

By purchasing or activating Myicons ("Item"), you agree to be financially liable for liquidated damages of up to $100,000 (One hundred thousand United States dollars) for each individual material breach of this license Agreement, as may be enforced by a court of competent jurisdiction. In the case that copies of Myicons traceable to your account are shared publicly online or on a piracy forum, Telegram channels / groups, or similar distribution venues, you agree to be financially liable for liquidated damages of up to $250,000 (Two hundred fifty thousand United States dollars) for each individual download as a separate offence, as may be enforced by a court of competent jurisdiction.

To confirm compliance with this Agreement, Myicons may verify your use of the Myicons products, including the number of active Licensed Users (seats) and the number of unique icons embedded per End Product. Such verification may be carried out remotely through usage and activation data associated with your license key, plugin sessions, and registered Myicons web account, and — for Enterprise customers — by reasonable request, on prior notice and no more than once per year, for records relevant to your use of the Myicons products.

Myicons will conduct any verification in a manner that does not unreasonably interfere with your normal business operations, and will treat all information obtained as your Confidential Information under §12. If verification shows use beyond the scope of your plan (for example, more active Licensed Users than your seat count, or more unique icons per End Product than your limit), you agree to promptly bring your use into compliance and to pay the difference between the fees you paid and the fees applicable to your actual use, without prejudice to any other right or remedy available to Myicons under §17 and §22.

Myicons may, from time to time, add, update, improve, or remove icons and features in the Myicons Plugin and the Myicons Web Library, and may modify or discontinue parts of the Services, provided that Myicons will not materially degrade the core functionality you have paid for during your then-current subscription term. Icons already embedded into End Products created during an active subscription remain subject to §6.2.

Neither party will be liable for any delay or failure to perform its obligations under this Agreement (other than payment obligations) to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, labor disputes, failures of electricity, internet, hosting, or telecommunications, third-party service outages, or government action.

If any provision of this Agreement is held invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Myicons's failure to enforce any provision is not a waiver of its right to enforce that or any other provision later.

Provisions that by their nature should survive termination — including §4 (Copyright and Ownership), §9 (Warranty), §12 (Confidentiality), §13 (Other Terms), §14 (Limited Damages), §15 (Governing Law), §17 (Remedies), §22 (Enforcement), and §23 (Verification of Use) — survive any termination or expiration of this Agreement.

You will indemnify, defend (at Myicons's option), and hold harmless Myicons and its owners, employees, and contractors from and against any third-party claims, demands, suits, liabilities, damages, losses, and costs (including reasonable legal fees) arising out of or related to: (a) your use of the Myicons products or Services in violation of this Agreement; (b) your infringement or misappropriation of any third-party intellectual property, privacy, or other right through your use of the Myicons products; or (c) any content you create, distribute, or combine with the Myicons products. Myicons will give you reasonable notice of any such claim and may, at its own expense, participate in the defense with counsel of its own choosing.
